PYNT Members Terms of Membership

Nikken Sekkei Ltd. (hereinafter referred to as “Nikken Sekkei”) hereby establishes the following provisions regarding the rights and obligations between Nikken Sekkei and members concerning the use of “PYNT” (hereinafter referred to as “the Facility”), a facility managed and operated by Nikken Sekkei.

Article 1: Name
The name of this club shall be “PYNT Members” (hereinafter referred to as “the Club”).

Article 2 Purpose
Members shall understand that, as indicated by the Club’s tagline “What should we do? And what comes next?”, “PYNT Members” is a space designed to provide an opportunity for those who wish to move forward from the sense of uncertainty expressed by “What should we do?” on Private, as well as for those grappling with social issues and asking “What should we do?”, to take the next step; and members shall contribute to the revitalization of the Facility and the building of a community.

Article 3: Membership System
As a general rule, this facility is available exclusively to members of this Association. Those wishing to join the Association must meet the membership eligibility requirements set forth in Article 5.

Article 4: Membership Categories, etc.
1. Members are classified into two categories: “Private” members and “Corporate Members.” When an individual joins at Private, they become a “Private” member; when a corporation joins, it becomes a “Corporate Member.”
2. Corporate members may designate individuals who will use this facility from among the full-time officers, employees, and other members of the corporate entity that has become a member (hereinafter referred to as “officers, etc.”). However, the number of individuals that may be designated as corporate member users is limited to a maximum of five per corporate member.
3. Private Members and corporate member users (hereinafter referred to as “Members, etc.”) may use this facility accompanied by individuals approved by Nikken Sekkei as guests (hereinafter referred to as “Guests”) each time they visit. However, the number of Guests permitted per visit is limited to a maximum of three per Member, etc. visiting the facility.Regarding guests, the Member shall verify the guest’s name and contact information by filling out the prescribed form with the relevant details. Furthermore, if a guest causes damage to Nikken Sekkei, another Member, or this facility, the Member in question shall be held liable.

Article 5: Membership Eligibility
To be eligible for membership, an individual must satisfy all of the following requirements.
(1) Private Or, in the case of a corporation, any party that agrees to and complies with these Terms and Conditions, the Terms of Use, the Facility Usage Manual, and all related rules.
Please note that if a minor wishes to become a member, a written consent form indicating that their legal representative has consented to their membership is required; please contact the club separately for further details.
(2) Individuals who are not members of organized crime groups, associates of organized crime groups, corporate extortionists, or persons equivalent to any of the foregoing, nor members of such groups (hereinafter collectively referred to as “antisocial forces”). Additionally, individuals who personally guarantee that they will not fall into any of these categories in the future.
(3) Private To become a member, you must be able to present identification documents containing your name, date of birth, address, and other relevant information at the time of enrollment.
(4) Corporate members are corporations that can present a certified copy of their corporate registry or similar documents upon joining.
(5) Individuals who have never been subject to a disqualification penalty at this facility pursuant to Article 13, Paragraph 3, nor have ever engaged in conduct warranting such a penalty
(6) In addition, individuals whom Nikken Sekkei deems suitable for membership

Article 6: Membership
1. Those wishing to become members must agree to these Terms and Conditions and the Terms of Use, and must apply for a membership agreement by entering the required information in accordance with the application procedure established by Nikken Sekkei.
2. Upon receiving an application as described in the preceding paragraph, Nikken Sekkei shall conduct a membership review and may, at its sole discretion, accept or reject such application. As an example of cases in which Nikken Sekkei may refuse membership, this includes applications from individuals who are deemed likely to use the facility for purposes other than those specified in Article 2, or who are deemed likely to fall under any of the grounds specified in Article 13, Paragraph 3.
3. Any person who has received the approval specified in the preceding paragraph shall be deemed a member of this association.
4. The date of membership shall be the date on which Nikken Sekkei accepts the application in accordance with the provisions of Paragraph 2.

Article 7: Term of the Agreement
1. The contract period for the first year of membership shall be from the enrollment date specified in paragraph 4 of the preceding article until the last day of the month in which the corresponding date of the following year falls.
2. Unless otherwise notified at least one month prior to the expiration of the contract term, the membership agreement shall be automatically renewed for one-year periods beginning the year following the expiration date specified in the preceding paragraph. However, the agreement shall not be automatically renewed for members who have not used the facility even once during the contract term Private.

Article 8: Membership Fees
1. Individual members and corporate members of Private are not required to pay membership dues.

Article 9 Use of the Facility
1. Members may use this facility in accordance with their membership category and the conditions set forth in the Facility Usage Manual and other relevant documents.
2. Members and other users must present identification documents to Nikken Sekkei when using this facility for the first time. Additionally, Nikken Sekkei may request that you present identification documents at any time thereafter if deemed necessary, in which case you must present them.

Article 10: Rules of Conduct
Members shall agree in advance to and comply with the following provisions when using this facility.
(1) Act in a cooperative manner with other members
(2) You must comply with the provisions set forth in the Facility User Manual and other relevant documents regarding the use of this facility and the equipment and devices within it.
(3) You must comply with these Terms and Conditions, the Terms of Use, all relevant rules and regulations, and the instructions of this facility’s employees.
(4) For corporate members, ensure that users of the corporate membership comply with the same obligations as those imposed on the member.

Article 11: Notification of Changes, etc.
1. If there are any changes to the information registered during the membership enrollment process (including, for corporate members, information regarding corporate member users designated pursuant to Article 4, Paragraph 2), the member shall promptly notify Nikken Sekkei of such changes using the notification method specified by Nikken Sekkei. The same shall apply to any subsequent changes.
2. If a corporate member wishes to change the individual designated as a corporate member user, the member must notify Nikken Sekkei of the details of the change and submit a “Change Notification Form.” The same procedure applies in the event of any subsequent changes.
3. When this Association sends a notice to a member by mail or email, the change shall be deemed complete upon dispatch to the member’s most recent address or email address as reported by the member.
4. Nikken Sekkei shall not be liable for any damages incurred by a member as a result of the member’s failure to update their contact information or to verify such information.

Article 12: Confidentiality Obligations
Members and corporate member users shall not publish, leak, or disclose to third parties any confidential information as defined in Article 11 of the Terms of Use.

Article 13: Loss of Private Membership Status
If a member falls under any of the following items, Nikken Sekkei shall revoke that member’s membership status.
(1) When you cancel your membership
(2) Private When a Member Dies
(3) When a petition is filed to commence bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, or special liquidation proceedings against a member
(4) When Nikken Sekkei closed this facility

Article 13-2: Loss of Corporate Member Status
A Corporate Member User shall lose their status as a Corporate Member User if any of the following grounds apply.
(1) When a corporate member that has designated the relevant corporate member user pursuant to Article 4, Paragraph 2 loses its membership status
(2) When a corporate member as defined in Article 4, Paragraph 2 changes its corporate member user pursuant to Article 11, Paragraph 2
(3) When a corporate member user ceases to hold the position of officer or similar role within the corporate member organization
(4) When a Corporate Member Passes Away
(5) When a corporate member user falls under any of the grounds specified in Article 15, Paragraph 1, and Nikken Sekkei deems it appropriate

Article 13-3 Suspension or Loss of Membership Status
1. If a member or a corporate member’s designated user falls under any of the following categories, Nikken Sekkei may take necessary disciplinary action, such as suspending the membership of the member or the corporate member that designated such user, or revoking their membership. Members or corporate members whose membership has been suspended shall be prohibited from using the Association’s facilities during the suspension period, and members or corporate members whose membership has been revoked shall be prohibited from using the facilities thereafter. However, this shall not apply if Nikken Sekkei permits use in accordance with criteria separately established by Nikken Sekkei.
(1) If members and corporate members fail to comply with these Terms and Conditions, the Terms of Use, and related rules
(2) If a Member or Corporate Member user engages in conduct that falls under the prohibited acts specified in Article 17 of the Terms of Use
(3) If members or corporate members fail to follow the instructions of this facility’s employees
(4) If a member or corporate member user causes damage to this facility through willful misconduct or negligence
(5) If a member or corporate member user engages in conduct that significantly undermines the trust in Nikken Sekkei,
(6) If a member or corporate member user submits false information during registration, or fails to promptly report any changes to their registration information
(7) When a member or corporate member user engages in significantly rude or aggressive behavior or acts in a threatening manner within this facility, thereby causing anxiety to Nikken Sekkei or other users, or when such user engages in behavior that causes a nuisance to other users;
(8) When an individual member or corporate member engages in conduct that violates public order and morals, or when there is a risk that such conduct may be encouraged
(9) If you engage in any unlawful acts, such as infringing the intellectual property rights or other rights of this facility or a third party
(10) If a member or corporate member user engages in conduct that violates laws or regulations
(11) If it is determined that a member or corporate member user is a member of an antisocial group or is associated with a person under the control of such a group, or if Nikken Sekkei determines that there is a risk of such a situation occurring;
2. If Nikken Sekkei suspends or revokes membership in accordance with the provisions of the preceding paragraph, Nikken Sekkei shall not be liable for any losses, damages, or other liabilities incurred by the relevant member, corporate member, or corporate member user as a result thereof.

Article 14: Withdrawal from Membership
1. If a member wishes to withdraw from membership, the member shall complete the required information on the designated “Notice of Withdrawal” form and submit it to Nikken Sekkei.
2. Unless otherwise specified, the date of withdrawal shall be the last day of the month following the month in which Nikken Sekkei receives the notice of withdrawal.
3. Upon receipt of a notice of withdrawal, Nikken Sekkei will promptly notify the member who submitted the notice, in writing or by email, that the notice has been received. Please note that even after submitting a notice of withdrawal, a member’s status remains unchanged from the date of receipt of the notice until the effective date of withdrawal, and the member may continue to use this facility.

Article 15: Transfer, Inheritance, and Lending of Membership Status
Members and Corporate Member Users may not assign, lend, or offer as collateral to a third party any part or all of the rights and obligations (including claims and liabilities) arising under these Terms and Conditions in their capacity as a Member or Corporate Member User.Furthermore, the status of a Member or Corporate Member User is personal to that Member or Corporate Member User and is not subject to inheritance. However, this shall not apply if, at the time of the commencement of inheritance, the Member or Corporate Member User had rights and obligations—other than monetary obligations—that are not personal and inalienable under these Terms or the Terms of Use.

Article 16: Liability of Private Members and Corporate Members
1. Private Members and corporate members shall compensate Nikken Sekkei, other members, this facility, or users of this facility for any damages caused by acts attributable to them that violate these Terms and Conditions or the Terms of Use.
2. Corporate members shall ensure that corporate member users comply with the same obligations as those borne by the corporate member under these Terms and Conditions and the Terms of Use when using this facility. If a corporate member user causes damage to Nikken Sekkei, other members, this facility, or users of this facility, the Corporate Member shall be jointly and severally liable with the Corporate Member User for such damages.

Article 17: Disclaimer
1. Nikken Sekkei shall not be liable for any damages incurred by members of Private, corporate members, users of corporate memberships, or their companions. However, Nikken Sekkei shall be liable only for actual, ordinary, and direct damages incurred by members of Private, corporate members, users of corporate memberships, or their companions as a result of Nikken Sekkei’s willful misconduct or gross negligence.

Article 18: Exclusion of Antisocial Forces, etc.
1. Members and corporate members shall represent and warrant to Nikken Sekkei the matters set forth in the following items.
(1) The applicant must not be affiliated with any antisocial forces and must not become affiliated with any such groups in the future.
(2) You must not allow antisocial forces to use your name or enter into a contract in your name.
2. In addition to the preceding paragraph, Members and Corporate Member Users hereby represent and warrant that they have not engaged in, and do not intend to engage in, any of the acts set forth in the following items, whether directly or indirectly.
(1) Any act of allowing this facility to be used as an office or other base of operations for antisocial forces.
(2) Acts such as fraud, violence, threatening language, or unreasonable demands that exceed legal liability, whether committed by oneself or through a third party.
(3) Acts that interfere with Nikken Sekkei’s business operations or damage Nikken Sekkei’s reputation through deception or coercion
(4) Any act of receiving capital or funds from antisocial forces, regardless of the pretext, or of establishing a relationship with them.
(5) The act of providing funds to antisocial forces, regardless of the purpose.
(6) Acts in which antisocial forces interfere with a member’s business operations.

Article 19: Private Data Protection
1. To ensure the smooth operation of this facility, Nikken Sekkei will collect and use information such as the names (including corporate names), postal codes, addresses, telephone numbers, and email addresses of members and other individuals.This facility will manage and handle the information collected during member registration or participation in events, etc. (Private), appropriately and strictly in accordance with Nikken Sekkei’s Privacy Policy. Please note that, upon request from a member or with the member’s consent, we may disclose information such as event registration details or usage history of this facility to the member or to a party authorized by the member.

Article 20: Consent to the Transmission of Specified Electronic Mail
1. Nikken Sekkei may send emails containing advertisements or promotional materials from Nikken Sekkei or its affiliates, as well as from users or their affiliates, to the email addresses obtained from members and corporate members.
2. By providing Nikken Sekkei with an email address, members and other parties consent to Nikken Sekkei sending the email described in the preceding paragraph.

Article 21: Amendment of the Terms and Conditions
1. Nikken Sekkei reserves the right to amend these Terms and Conditions or establish new rules and guidelines as necessary, and shall provide advance notice or notification to members in the manner specified by Nikken Sekkei.
2. The changes described in the preceding paragraph shall take effect upon the expiration of the notice period.

Article 22: Priority of Application
In the event of any inconsistency between the provisions of these Terms and any other regulations or rules, these Terms shall take precedence.

Article 23: Resolution of Disputes
1. In the event of any dispute regarding these Terms and Conditions or the use of this facility, Nikken Sekkei, the Member, and the Corporate Member User shall consult in good faith to resolve the matter.
2. If the parties are unable to reach an agreement as described in the preceding paragraph, the court having jurisdiction over the location of Nikken Sekkei’s head office shall have exclusive agreed jurisdiction over any litigation arising from these Terms and Conditions.

Article 24: Governing Law
You agree that these Terms shall be governed by the laws of Japan.

Article 25 Effective Date
These Terms and Conditions shall take effect on April 7, 2023.
